These terms of use (hereinafter referred to as the "Terms") set forth the legally binding terms and conditions which govern the access to and use of any websites, mobile sites, mobile applications, products or services under the umbrella of "RenderRush Pro", a video creation platform available at https://renderrush.net, and on Google Play Store and App Store as RenderRush Studio, RenderRush video editing, (collectively referred to as the "Services") offered by WhiteSpace Technology Private Limited a company registered in India under the Companies Act, 2013 and having its registered office in Bangalore bearing registration no. 201931873E (hereinafter collectively referred to as "RenderRush"/"us"/"our"/"we"). The terms "Customer", "you", "your" shall refer to any natural person or entity and its authorized users that subscribes to or uses the Services. Certain features of the Services may be subject to additional guidelines, terms, or rules which are incorporated by reference into these Terms.

By accessing or using the Services, you are accepting these Terms (on behalf of yourself or the entity/ individual that you may represent) and you represent and warrant that you have the right, authority, and capacity to enter into these Terms (on behalf of yourself or the entity/individual that you may represent). You may not access or use the Services or accept the Terms if you are not at least 13 (thirteen) years old. If you are under 18 (eighteen), you must have your parent or legal guardian's permission to use the Services. If RenderRush becomes aware that a Customer under 13 (thirteen) years of age has created an account, or that a user or visitor under 13 years of age has used the Services, including sharing their personally identifiable information or other content, RenderRush shall be entitled to terminate such account and/or remove any information or other content shared by such user.

Furthermore, it is agreed that any past or present claims relating to these Terms or the use of the Services shall be resolved through an informal dispute resolution process or through final and binding arbitration, as more particularly mentioned hereinbelow under clause 15 of these Terms.

Customer Content, Output and Video Output

"Customer Content" shall mean any and all information and content (including but not limited to text, images, photos, videos, audio, reviews, comments and documents) that a Customer provides or makes available to RenderRush in connection with the use of the Services. "Output" shall refer to the content created, generated and returned by the Services based on the Customer Content.

Customers may access and use certain types of content that we make generally available through the Services, such as our video templates, images, audio clips, effects, and transitions. Using content together with the features and functionalities of the Services, including the professional video editing technology components, Customers can create, edit, and produce professional video content ("Video Projects"). For the sake of these Terms, "Templates" shall mean and include video editing templates, effects, and design elements that include both those created for, and made generally available to Customers ("Pre-made Templates") and any video templates or custom elements that may be created by the Customers themselves ("Custom Templates"). For the purposes of these Terms, any reference to Output includes but is not limited to Video Projects, unless any specific reference is made explicitly to Video Projects or unless it is repugnant to the context thereof.

Creation of Custom Templates

RenderRush Pro offers the ability to create personalized Custom Templates through our professional video editing technology. To ensure optimal template quality and performance:

Content should be clear, well-lit, and in supported formats (MP4, MOV, AVI for video; MP3, WAV for audio; JPG, PNG for images). RenderRush Pro utilizes advanced video editing technology to provide comprehensive video editing, content enhancement, and production services. Understanding these professional editing features is essential for effective use:

Output quality depends on input quality, editing choices, and export settings selected. Users are responsible for reviewing and approving all edited content before final export. RenderRush Pro continuously updates editing tools and features, which may result in interface changes over time, and complex projects may require multiple editing sessions and revisions.

RenderRush Pro offers various subscription plans designed to meet different user needs and usage requirements:

Plan Features and Limitations:

Each plan includes specific quotas for video generation, avatar creation, and storage. Overage charges may apply for usage exceeding plan limits. Plan features, pricing, and availability are subject to change with appropriate notice. Unused credits or quotas do not roll over to subsequent billing periods unless explicitly stated, and plan downgrades may result in loss of access to premium features and content.

Ownership and Intellectual Property Rights

Understanding ownership rights is crucial for proper use of RenderRush Pro services and generated content:

You may not reverse engineer, copy, or distribute our video editing tools or proprietary technology. Attribution to RenderRush Pro may be required for certain use cases as specified in your plan, and rights to generated content are subject to compliance with these Terms and applicable laws.

You must not harm the Service by introducing malware, viruses, or harmful code that could damage our systems or other users' experiences, attempting to gain unauthorized access to systems, accounts, or data, interfering with or disrupting service operations including denial-of-service attacks, reverse engineering or attempting to extract source code, algorithms, or proprietary information, using automated systems or bots without explicit permission for unauthorized scraping or abuse, or circumventing usage limits, security measures, or other technical restrictions.

6. Subscriptions and Billing

6.1 Subscription Plans

We offer various subscription plans designed to meet different user needs and usage levels:

Free trials may be offered at our discretion for new users or specific promotional campaigns. Credit card information may be required to prevent abuse and facilitate seamless conversion to paid plans. Trials automatically convert to paid subscriptions unless cancelled before the trial period ends. Trial features may differ from paid plans and may include limited usage or watermarked content. Only one free trial per user or organization is permitted unless otherwise specified.

7. Cancellations and Refunds

Cancellation takes effect at the end of the current billing period, and you retain access until that date. No partial refunds are provided for unused time in the current billing period. Upon cancellation, your content and data will be retained for a limited period to allow for reactivation.

You represent that you have all necessary rights to User Content and that its use does not violate any third-party rights. We do not provide support for third-party integrations beyond basic troubleshooting. Support is provided in English during standard business hours (9 AM - 6 PM PST, Monday-Friday). Emergency support for critical business issues is available for Enterprise customers.

Service Level Commitments

Our service level commitments include an Uptime Target of 99.9% service availability with planned maintenance exceptions, Performance Standards with reasonable response times for video generation based on complexity, Data Backup through regular backups of user content and account data, Security Updates with timely implementation of security patches and improvements, and Monitoring through continuous monitoring of service performance and availability.

11. Disclaimers and Warranties

You agree to resolve disputes on an individual basis and waive any right to participate in class actions, collective actions, or other representative proceedings, except where prohibited by applicable law.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any legal action or proceeding must be filed in the state or federal courts of San Francisco County, California, and you consent to the personal jurisdiction of such courts.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and RenderRush Pro regarding the Service and supersede all prior or contemporaneous communications and proposals.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision, and no waiver will be deemed a waiver of any subsequent breach or default.

You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with mergers, acquisitions, or sales of assets.

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
